"Although it is possible that we may reach a settlement with the FTC in connection with the investigation... we cannot rule out that such outcome could occur in the near term," Shein wrote in the document. The company acknowledged that a potential resolution could involve significant monetary payments that may "materially affect its financial condition and operating results."
Consumer Protection Scrutiny
The FTC is the primary U.S. agency for consumer protection, tasked with preventing unfair or deceptive business practices. The commission has previously investigated companies over issues such as misleading pricing, data privacy, and refund policies.
A key area of focus for the FTC has been "dark patterns"—design tactics and psychological prompts used to influence consumer behavior. Shein's platform is known for employing strategies like countdown timers, gamified discounts, and flash sales to create a sense of urgency and encourage spending, which could attract regulatory scrutiny.

The revelation comes as Shein moves forward with its Hong Kong listing, for which it has reportedly received approval. The investigation adds another layer of complexity to the IPO, which has already seen its valuation targets adjusted downward.
Shein is reportedly seeking a valuation between $40 billion and $50 billion for its public offering. This is a notable decrease from previous funding rounds:
