Pentair Shares Plunge After Slashing Guidance, Announcing CFO's Sudden Departure

Shares of Pentair PLC (PNR) plunged nearly 20% in premarket trading after the company unexpectedly cut its full-year financial guidance, reported a steep miss on preliminary second-quarter results, and announced the abrupt departure of its Chief Financial Officer.
Guidance Cut and Executive Change
In a preannouncement released Tuesday evening, Pentair disclosed that CFO Nicholas Brazis departed on July 10 to pursue an opportunity at a private company. Bob Fishman, a former CFO at Pentair, has been appointed as interim EVP and CFO, effective immediately.
Alongside the leadership change, the company provided preliminary second-quarter results that fell well short of its prior outlook. Pentair also significantly lowered its forecast for the full year:
- Preliminary Q2 Sales: Approximately $930 million, a 17% decline versus its previous guidance of a 1% increase.
- Preliminary Q2 Adjusted EPS: Approximately $1.12, compared to a prior range of $1.47 to $1.50.
- New Full-Year Sales Guidance: A decline of 4% to 7%, revised down from previous guidance of 2% to 4% growth.
- New Full-Year Adjusted EPS Guidance: $4.60 to $4.80, a sharp reduction from the prior forecast of $5.30 to $5.40.
Pool Business Woes
AdPentair attributed the significant shortfall to challenges within its Pool business segment. The company stated that channel destocking—when distributors and retailers reduce their inventory levels—negatively impacted segment sales by approximately $170 million during the second quarter.
According to an analyst note, the weakness appears to be concentrated in the Pool segment. Pentair's other divisions, Flow and Water Solutions, are expected to perform roughly in line with the company's previous guidance.
Market Reaction and Analyst Downgrade
The dual announcements sent Pentair's stock down 19.6% in pre-market activity. In response to the news, RBC Capital downgraded the stock to Sector Perform from Outperform and slashed its price target by $27 to $74 per share.
RBC Capital analyst Deane Dray described the second-quarter earnings miss as approximately 24% and called the CFO's sudden transition "an embarrassing development." The analyst noted that the destocking in the Pool division "is clearly proving far worse than management signaled on the 1Q26 call."
