Background

Shares of LCI Industries (NYSE:LCII) jumped after the company confirmed it received an unsolicited, non-binding proposal from Monomoy Capital Partners to acquire the recreational vehicle components supplier for $101 per share in cash. The offer introduces a new suitor and complicates a previously announced merger with a competitor.

The Competing Proposal

LCI Industries disclosed the takeover approach on Wednesday, which prompted a 7.1% surge in its stock during premarket trading, according to Investing.com. The proposal from Monomoy Capital Partners represents a significant development for shareholders, presenting an all-cash alternative to an existing deal.

The company's Board of Directors stated it has a fiduciary responsibility to carefully evaluate Monomoy's proposal. LCI has engaged Perella Weinberg Partners LP as its financial advisor and Kirkland & Ellis LLP as its legal advisor to assist in the review. For now, the company has advised its shareholders to take no action regarding the new offer.

Impact on Patrick Industries Merger

The new bid directly challenges LCI's existing definitive agreement to merge with Patrick Industries Inc. (NASDAQ:PATK). That all-stock transaction, announced on June 30, 2026, was intended to create a leading component solutions provider for the outdoor enthusiast, housing, and transportation markets.

Despite the new offer, LCI's board has not changed its official recommendation in favor of the Patrick Industries merger. Patrick Industries acknowledged it was notified of the competing proposal and stated it will monitor the development while continuing to execute its own strategy.
