Background

Brookfield is in advanced negotiations to acquire Indian specialty glass manufacturer PGP Glass from Blackstone in a transaction valued between $1.3 billion and $1.5 billion, according to a report from The Economic Times citing people familiar with the matter. The potential deal would represent a significant exit for Blackstone and a major acquisition in India's industrial packaging sector.

Blackstone's Exit Strategy

The sale would allow Blackstone to monetize its investment in PGP Glass, which it acquired as Piramal Glass from the Piramal Group in 2020 for approximately $765 million. The private equity firm has been exploring an exit since early 2024 through a dual-track process, according to the report.

Blackstone had been preparing PGP Glass for an initial public offering (IPO) in India, targeting a raise of $400 million to $500 million. The firm had reportedly appointed Axis Capital, Bank of America, and HSBC as lead bankers for the proposed listing. Concurrently, it hired Jefferies to explore a potential sale of the business.

Transaction Background

This marks a re-engagement for Brookfield, which had previously participated in a sale process for PGP Glass in 2024 but saw talks break down, The Economic Times reported. The latest discussions position Brookfield as the lead contender to acquire the asset.

The potential sale aligns with Blackstone's broader strategy of realizing gains from its earlier Asia-focused private equity funds. The firm's successful fundraising for its latest Asia fund underscores its continued focus on the region.

PGP Glass's Market Position

PGP Glass is a prominent manufacturer of glass packaging for a diverse range of industries. Its key business segments in fiscal 2025, according to the report, included:

  • Specialty food and beverage packaging: 41% of revenue
  • Cosmetics and perfumery: 37.5% of revenue

The company is also a leading domestic producer of Type I pharmaceutical glass, a critical component for medical packaging, and exports its products to more than 60 countries.
